Terms and Conditions
1. About these Terms
These Terms are an agreement between IGMS LTD, company no. HE358799, registered office Aristofanous 20A, 6035 Larnaca, Cyprus; operating address Office 201, Omega Business Center, 18 Stratigou Timagia Avenue, 6047 Larnaca, Cyprus ("IGMS", "we", "us") and the business that orders services from us ("Client", "you"). They apply to our website igms.com.cy and to all services we provide. A signed order form or agreement prevails over these Terms where they differ. The Acceptable Use Policy, the Sanctions and Restricted Jurisdictions Policy and the Privacy Policy form part of these Terms.
2. Accounts and onboarding
You must give accurate and complete information and keep it up to date. Before we accept an order we may ask for company registration documents, details of directors and beneficial owners, and identification. We screen clients against sanctions lists as set out in the Sanctions and Restricted Jurisdictions Policy. We may refuse or cancel any order, and we may require extra verification for transactions we consider high risk. You are responsible for all activity under your account and for keeping credentials secure. Tell us at once about any unauthorised use.
3. Your responsibilities
- You are responsible for your content, your end users and for holding every licence and authorisation your business needs (for example gambling or financial-services licences).
- You must not use the services for anything prohibited by the Acceptable Use Policy or for any activity connected with a restricted jurisdiction or sanctioned person.
- You must respond to an abuse notice within the time it states: within 24 hours for security abuse (malware, phishing, botnet) and within 2 business days for other matters.
4. Fees and payment
Fees are set out in the order form or invoice. Invoices are payable by the due date shown. We may suspend services if an invoice is not paid within the grace period stated in the order form. Payments must come from an account or wallet owned by the Client; we do not accept payments from third parties. Where payment by cryptocurrency is offered, it is processed by an authorised payment processor; network fees are borne by the payer, and any refund is made to the originating account or wallet. Fees exclude taxes unless stated.
5. Confidentiality and personal data
Each party keeps the other's non-public information confidential except where disclosure is required by law or by a competent authority. We handle personal data as set out in our Privacy Policy. Where we process personal data on the Client's behalf we do so under a data processing agreement. We tell the Client without undue delay if we become aware of a personal data breach affecting the Client's data.
6. Intellectual property
We and our licensors keep all intellectual property in our websites, software platforms and materials. Software is licensed, not sold, and the licence is limited, non-exclusive and non-transferable. You may not copy, modify, reverse engineer or sub-license it except as the licence allows.
7. Suspension and termination
We may suspend, restrict or terminate a service, remove content or disable access, with notice where practicable, if: you breach these Terms or our policies; a court or authority orders it; the activity is, or we reasonably believe it to be, illegal; it creates a security risk to us or others; or you do not pay.
For serious violations (child sexual abuse material, terrorist content, malware and botnets, phishing, financial fraud, sanctions breaches) we act immediately and without prior notice, and the service will not be reactivated.
We explain our decision in a statement of reasons (section 9). After termination you are responsible for retrieving your data; we may delete it after the period stated in the order form.
8. Warranty and liability
We provide services with reasonable skill and care but do not promise that they will be uninterrupted or error-free. To the extent the law allows, our total liability under an agreement is limited to the fees paid for the affected service in the 12 months before the event, and we are not liable for indirect or consequential loss. You indemnify us against third-party claims arising from your content or your breach of these Terms. Nothing excludes liability that cannot be excluded by law.
9. Illegal content, notices and authorities
IGMS handles notices about illegal content relating to the services it provides under the Abuse, Takedown and Law Enforcement Procedure.
- Points of contact: authorities and users write to hello@igms.com.cy (addressed to George Sarris, Director). We accept communication in English and Greek. You may always ask to communicate with a person.
- Reporting illegal content: send hello@igms.com.cy the exact location of the content (URL, IP address or service identifier), why you believe it is illegal and, where possible, the law concerned, and a statement that the information is accurate. Name and e-mail are not required for reports of child sexual abuse material. We confirm receipt without undue delay and assess each notice diligently, objectively and by manual review.
- Statement of reasons: when we remove content or suspend or terminate a service we tell the Client what we did, why (the clause relied on, and whether a notice triggered it), and how to seek redress. We do not do this where the illegality is evident and the matter involves a serious offence threatening life or safety.
- Redress: write to hello@igms.com.cy to ask us to reconsider. You may also go to the competent courts of Cyprus.
- Authorities: where we learn of a suspected offence involving a threat to life or safety we promptly inform law enforcement or judicial authorities.
10. Governing law
These Terms are governed by the laws of Cyprus. The courts of Cyprus have exclusive jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.
11. Changes and contact
We may change these Terms by publishing the new version; for significant changes (including restrictions on use or the notice-and-action process) we notify active clients in advance. Contact for all matters, including abuse, illegal content and privacy: hello@igms.com.cy.
